Building to Sell in Cape Verde: Taxation, Corporate Structure and Property Development Accounting

Building to sell in Cape Verde involves much more than simply choosing a plot of land and starting construction. A property development project is also a business, tax and financial decision.

Before purchasing the land, commissioning the construction work or marketing the units, the developer must understand how the project will be structured, what taxes may apply at the various stages, how costs will be recorded and how the profit from the operation will be calculated.

An inappropriate structure may increase the tax burden and make it more difficult to funding, limit the deduction of certain costs or cause problems at the time of sale.

Therefore, for anyone wishing to develop a property project with a view to selling it, the question should not simply be:

“Where should I build?”

The most important question is:

“How should I organise the project from a tax and financial perspective before investing?”

In this guide, S&D Consultoria explains the key points that should be considered before proceeding with a construction project for sale in Cape Verde.

1. Before buying the land: define the structure of the investment

One of the first decisions is to determine who will make the investment.

Depending on the circumstances, the project may be carried out:

  • as a private individual;
  • through an existing company;
  • by setting up a new company for that purpose;
  • through an investment structure involving several partners or investors;
  • or, in the case of foreign investors, through an entity or business presence appropriate to the operation in Cape Verde.

There is no single solution that is universally better.

The structure should be chosen on the basis of factors such as:

  • scale of the investment;
  • number of properties or units to be developed;
  • frequency of operations;
  • the existence of investors or partners;
  • need for bank financing;
  • source of capital;
  • the investor’s tax residence;
  • project risk level;
  • profit distribution strategy;
  • intention to reinvest in new projects.

A one-off transaction carried out by a landowner does not necessarily fall within the same category as an organised and recurring property development activity.

That is precisely why the analysis must be carried out prior to the investment, and not just at the time of sale.

2. Building to sell in Cape Verde: under a personal name or a company name?

This is one of the most important decisions for the prosecutor.

Construction as a sole trader

It may appear to involve less administrative complexity, particularly when a one-off transaction is involved.

However, they must be analysed carefully:

  • the nature of the operation;
  • the income tax framework;
  • the regular nature of the activity;
  • the costs recognised for tax purposes;
  • financial liability;
  • the source of the funds;
  • the handling of the sale;
  • and the applicable reporting obligations.

A property transaction of significant scale should not be structured solely on the basis that “it’s simpler to do it as a private individual”.

Construction carried out by a contractor

When there is a business activity In the property development sector, a company may allow for a more appropriate operational and accounting structure.

Among other things, it allows you to:

  • to keep personal assets separate from business assets;
  • organise costs by project;
  • use a business bank account;
  • draw up contracts with suppliers and subcontractors;
  • to bring in investors or partners;
  • prepare financial statements;
  • draft funding applications;
  • monitor the profitability of each project;
  • to document tax-relevant costs appropriately.

Companies subject to the standard tax regime in Cape Verde will, in 2026, be subject to a general rate of IRPC of 20% on taxable income, without prejudice to any other charges, schemes or benefits that may apply.

The choice between being a sole trader and a company should not, therefore, be based solely on a tax rate. It must take into account the overall tax burden, risk, accounting, financing and the investor’s future strategy.

3. Foreign or non-resident investors: planning should begin before the acquisition

One an investor living abroad and intends to build properties for sale in Cape Verde should assess their tax and administrative position in the country in advance.

Depending on the structure of the operation, the following may be necessary or relevant:

  • obtaining a tax identification number in Cape Verde;
  • identification of the entity that will make the acquisition;
  • incorporation of a company;
  • opening a bank account;
  • documentation regarding the source and inflow of capital;
  • compliance with tax obligations;
  • accounting system;
  • analysis of whether a permanent establishment exists;
  • the use of local suppliers;
  • the framework for the future sale of the properties.

The mere fact of owning a property in Cape Verde does not automatically mean that every situation constitutes a business activity. However, where there is acquisition, development, construction and sale for commercial purposes, the structure must be analysed as a whole.

For investors from the diaspora or foreign investors, this analysis is particularly important because decisions taken prior to the injection of capital may have subsequent implications for taxation and the repatriation or distribution of profits.

4. ITI: tax to be taken into account when purchasing or transferring a property

Since 1 January 2026, Cape Verde has its own Code of Property Transfer Tax — ITI, adopted by Law No. 54/X/2025 of 6 June.

The ITI must be taken into account where there is a transfer of immovable property for consideration covered by the relevant Code.

For a developer, this means that the tax analysis must begin as soon as the land or property on which the project is to be based is acquired.

Prior to the acquisition, the following, amongst other things, should be analysed:

  • taxable value of the transaction;
  • nature of the property;
  • the purchaser’s identity;
  • transmission layout;
  • any benefits or exemptions;
  • registration and formalisation costs;
  • the impact of the acquisition cost on the project’s overall profitability.

A common mistake is to calculate only:

land price + construction costs.

The actual investment must also take into account taxation and the costs associated with the purchase itself.

5. IPI: the tax cost of the property during the project

Also since 1 January 2026, the former system of wealth taxation was overhauled, and the Property Tax — IPI.

The IPI is levied on the taxable value of rural, urban and mixed-use properties situated in Cape Verde.

The rate laid down in the IPI Code is 0,1%.

This means that ownership of land and property held during the development of a project must be factored into the developer’s financial planning.

Furthermore, alterations to the building may trigger an obligation to update the property register. The Code specifically provides for situations relating to the completion of building works, physical alterations or modifications likely to affect the taxable value.

Consequently, the completion of construction is not merely a commercial event: it may also have tax and registration implications.

6. VAT in the construction sector: it is not enough to look at the 15% rate

The standard VAT rate in Cape Verde is currently 15%.

However, in a property development project, the VAT analysis should not be limited to automatically applying 15% to all transactions.

The following need to be analysed separately:

  • procurement of materials;
  • architectural and engineering services;
  • main contracts and subcontracts;
  • equipment;
  • import of materials;
  • services contracted from non-resident entities;
  • use of the property;
  • nature of the sale;
  • the right to deduct input VAT.

7. IRPC and taxation of project profits

  • acquisition;
  • projetos de arquitetura e engenharia;
  • estudos técnicos;
  • licenciamento;
  • materiais;
  • mão de obra;
  • empreitadas;
  • equipment;
  • insurance;
  • funding;
  • professional services;
  • comercialização;
  • administração do projeto.

8. Project accounting: each construction project must be treated as an economic project

  • Quanto falta investir?
  • Qual o custo real por metro quadrado?
  • Qual o custo por fração?
  • Quanto do orçamento já foi consumido?
  • Existem derrapagens?
  • Qual é a margem prevista?

9. Feasibility study: building something does not necessarily mean making money

Initial investment

  • aquisição do terreno;
  • impostos associados;
  • projetos;
  • estudos;
  • licenciamento;
  • preparação da obra.

Construction costs

  • materiais;
  • mão de obra;
  • empreitadas;
  • equipment;
  • logística;
  • fiscalização;
  • contingências.

Financial costs

  • juros;
  • comissões;
  • garantias;
  • insurance;
  • encargos bancários.

Operating and tax costs

  • accounting;
  • taxes;
  • professional services;
  • comercialização;
  • records;
  • despesas administrativas.

Expected revenue

  • número de unidades;
  • preço médio de venda;
  • ritmo de comercialização;

10. Financing: the tax system influences the ability to obtain credit

  • o promotor;
  • a estrutura jurídica;
  • capitais próprios;
  • garantias;
  • projeções financeiras;
  • capacidade de execução;
  • cash-flow;
  • rentabilidade;
  • documentação contabilística;
  • tax status;
  • riscos do projeto.

  • business plan;
  • feasibility study;
  • orçamento de construção;
  • cronograma financeiro;
  • projeções de vendas;
  • demonstrações financeiras;
  • identificação dos capitais próprios;
  • informação sobre garantias;

11. What if the land already belongs to the investor?

  • continuará no património pessoal?

12. Five common tax and financial mistakes made by developers

1. Buy first and sort out the tax later

2. Mixing personal expenses with project expenses

3. Failure to keep proper records

4. Confusing profit with liquidity

5. Set the selling price based solely on the market

O preço mínimo economicamente sustentável deve também considerar custos, fiscalidade, financiamento, risco e margem pretendida.

13. Frequently Asked Questions

Do I need to set up a company to build and sell?

Can a foreigner carry out a property development project in Cape Verde?

What is the IPI rate in Cape Verde?

What is the IRPC rate in Cape Verde in 2026?

Is the standard VAT rate still 15%?

Sim.

Can I claim all the construction costs as a tax deduction?

14. Before you proceed: the prosecutor’s checklist

  • estrutura do investimento;
  • pessoa singular versus sociedade;
  • NIF e obrigações do investidor;
  • tributação da aquisição;
  • IPI;
  • tratamento do IVA;
  • tributação do resultado;
  • contabilidade do projeto;
  • custos de financiamento;
  • capital próprio necessário;
  • projeção de cash-flow;
  • preço mínimo de venda;
  • rentabilidade esperada;
  • cenário de derrapagem de custos;
